Effective Date: October 26, 2025

1. Purpose

This Affiliate Agreement (“Agreement”) governs your participation in the Remote Logistics Academy

Affiliate Program (“Program”) operated by SunStone Management Group, LLC (“Company,” “we,” “our,”

“us”). By signing up or participating, you agree to be bound by this Agreement and our website’s Terms

& Conditions and Privacy Policy.

2. Independent Contractor Relationship

You act as an independent contractor, not an employee, partner, or representative of the Company.

You are responsible for your own business operations, taxes, and compliance with all applicable laws.

Nothing in this Agreement creates a joint venture, partnership, or agency relationship.

3. Eligibility and Approval

Affiliate applications are reviewed and approved at our sole discretion. We may reject or terminate any

applicant who, in our judgment, violates any law or regulation, engages in misleading or unethical

marketing practices, or damages or misrepresents our brand. We reserve the right to revoke approval

or terminate any Affiliate at any time without prior notice.

4. Marketing and Promotion Rules

You agree to promote our services truthfully, without false earnings claims or guarantees, include

FTC-compliant disclosures (e.g., #ad or #sponsored) in all public content, avoid spam or deceptive

practices, and use only approved brand assets. You may not bid on trademarked terms (e.g., “Remote

Logistics Academy”) in ads. Violations result in termination and forfeiture of commissions.

5. Commission Structure and Payments

Commissions are earned only on qualified sales tracked and approved by the Company. A qualified

sale means a genuine, completed purchase that is not refunded, disputed, or fraudulent.

5.1 Manual Review and Payment

All commissions are manually reviewed and approved before payout. Payments are executed via the

Company’s chosen method (Stripe, PayPal, FanBasis, or other). We reserve the right to delay or

withhold payment pending fraud or refund checks.

5.2 Adjustments

If a customer cancels, refunds, or disputes a payment, the related commission will be deducted or

reversed.

6. Taxes and Reporting

Affiliates are solely responsible for reporting and paying taxes on earnings. We may require submission

of applicable tax forms (e.g., W-9, W-8BEN) prior to payout.

7. Intellectual Property

You may use our logos, trademarks, and promotional materials only as authorized. You may not alter

brand materials, create derivative works, or imply partnership beyond this Program. All rights remain

the exclusive property of SunStone Management Group, LLC.

8. Confidentiality

Affiliate commission rates, performance data, and internal business information are confidential. You

may not share or disclose them publicly without written consent.

9. Termination

We reserve the right to terminate this Agreement and your affiliate status immediately if you violate any

term of this Agreement, misuse our intellectual property, or engage in fraud. Upon termination, you

must stop using our name, links, and materials immediately. Unpaid commissions may be forfeited for

violations or pending investigations.

10. Limitation of Liability

We are not liable for indirect, incidental, or consequential damages related to your participation in the

Program. Our total liability is limited to the commissions legitimately earned and payable to you.

11. Indemnification

You agree to indemnify and hold harmless Remote Logistics Academy and SunStone Management

Group, LLC from any claims, damages, or expenses arising from your actions, marketing practices, or

breach of this Agreement.

12. Governing Law

This Agreement is governed by the laws of the State of Florida, United States. Any disputes shall be

resolved through binding arbitration in Florida under the rules of the American Arbitration Association.

13. Acceptance and Digital Agreement

By checking “I agree” or by submitting an affiliate registration form on our website, you acknowledge

that you have read, understood, and accepted this Agreement, our Terms & Conditions, and Privacy

Policy. This electronic consent constitutes a legally binding contract.
